Terms of Service

These Terms govern your use of Magnetiq, an AI-assisted social media workflow for businesses. By creating an account, connecting a social account, starting a checkout, or using the service, you agree to these Terms.

1. The agreement

These Terms, the Privacy Policy, the plan and pricing shown at checkout, and any written order or addendum accepted by Magnetiq form the agreement between you and Magnetiq. If an order expressly conflicts with these Terms, the order controls only for that conflict. The Partner Program has separate terms that apply to partners.

3. The service

Magnetiq helps you turn your site, brand notes, prior approvals, and performance signals into post ideas, social media copy, review queues, schedules, digests, and publishing actions for connected social accounts. The service is designed for business and professional use.

4. Connected accounts and publishing

When you connect a social account, you authorize Magnetiq and our social publishing provider, Zernio, to access that account as needed to provide the service. By default, posts go through a review queue before publishing. If you enable an auto-publish or trust-ramp setting, you authorize Magnetiq and its providers to publish posts that match that setting without a separate approval click.

We may pause publishing, disconnect an account, or block a post if we believe it may violate these Terms, platform rules, law, account safety limits, or another person's rights.

5. Conversations, comments, and direct messages

Availability of replies, comments, inbox monitoring, and direct messages depends on each platform's APIs, permissions, account eligibility, and connected-account configuration. You authorize the actions you enable. You must not use these features for unsolicited bulk messaging, deceptive outreach, harassment, or unlawful profiling. Magnetiq may require approval, disable a capability, or stop delivery when permissions or safety checks fail.

AI-generated content can be inaccurate, incomplete, outdated, offensive, or unsuitable for your brand. Magnetiq includes automated quality checks, but those checks are not a substitute for human judgment. Review posts, claims, links, offers, and compliance requirements before publication unless you have deliberately enabled an automation setting.

We do not guarantee engagement, follower growth, sales, leads, platform reach, account standing, or any other business outcome.

9. Customer content and data

You keep ownership of the content, websites, brand materials, generated drafts, approvals, edits, and social account data you provide or create through Magnetiq. You grant us the limited rights needed to host, process, analyze, transform, publish, and display that content to provide, secure, support, and improve Magnetiq for your workspace.

We do not sell your customer content, and we do not use one customer's private workspace content to train a shared Magnetiq model for other customers. Our Privacy Policy explains how data is collected, used, shared, and deleted.

You may export or delete supported account data through available product controls or by contacting support. Account deletion does not erase records we must retain for billing, tax, payout, fraud, security, dispute, or legal purposes.

10. Intellectual property and feedback

Magnetiq and its licensors own the service, software, design, documentation, models, and workflows, excluding Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service during your subscription for your internal business purposes.

If you provide feedback, you allow Magnetiq to use it without restriction or compensation, provided we do not publicly identify you without permission. Nothing in these Terms grants either party rights to the other's trademarks.

11. Third-party services

Magnetiq depends on third-party providers, including Zernio for social account connections and publishing, OpenRouter and selected model providers for AI generation, Resend for email, Dodo Payments for billing, Railway for hosting and database services, Sentry for diagnostics, Google for optional sign-in, and the social platforms you connect. Their services and policies may apply to the parts of the workflow they provide.

We do not control third-party services and are not responsible for their changes, outages, content, account decisions, or terms. Loss of a third-party capability may limit or remove a Magnetiq feature. You remain responsible for maintaining eligible accounts and permissions with those providers.

12. Availability, suspension, and changes

We may change, suspend, or discontinue parts of the service as the product evolves. We may suspend or terminate access for non-payment, security risk, abuse, legal risk, platform-policy risk, or violation of these Terms. We will try to give notice when practical, but urgent security, payment, legal, or platform-safety issues may require immediate action.

13. Termination and account deletion

You may stop using Magnetiq, cancel a subscription, disconnect social accounts, or request account deletion at any time. Cancellation stops renewal; deletion closes product access and begins the data-handling process described in the Privacy Policy. We may terminate the agreement for a material breach that is not cured after reasonable notice, or immediately where continued access creates security, legal, payment, abuse, or platform risk.

Terms that by their nature should survive termination remain effective, including payment obligations, ownership, confidentiality, disclaimers, liability limits, dispute provisions, and rights needed to retain required records.

14. Confidentiality

Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform the agreement and protect it with reasonable care. This obligation does not cover information lawfully known without restriction, independently developed, publicly available without breach, or lawfully received from another source. Required legal disclosure is permitted after notice where legally allowed.

15. Disclaimers

To the maximum extent allowed by law, Magnetiq is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.

Magnetiq does not provide legal, financial, medical, employment, or other regulated professional advice. You are responsible for reviewing claims and obtaining professional advice appropriate to your business and location.

16. Limits of liability

To the maximum extent allowed by law, Magnetiq will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, platform account action, or business interruption. Our total liability for claims relating to the service is limited to the amount you paid to Magnetiq for the service during the three months before the event giving rise to the claim. These limits do not exclude liability that cannot be limited by law.

17. Indemnity

To the extent permitted by law, you will defend and indemnify Magnetiq from third-party claims, damages, and reasonable costs arising from Customer Content, your connected accounts, your violation of law or platform rules, or your material breach of these Terms. Magnetiq will promptly notify you and allow you to control the defense, subject to our right to participate and approve any settlement that imposes liability or obligations on Magnetiq.

18. Changes to these Terms

We may update these Terms as the service changes. For material changes, we will provide notice by email, in-app notice, or another reasonable method. We will not retroactively use customer content for materially broader AI training or data-sharing purposes without appropriate notice and consent where required. Continuing to use Magnetiq after an update means you accept the updated Terms.

19. Disputes

Before filing a formal claim, contact us and allow 30 days for an informal resolution. These Terms are governed by the law applicable to the Magnetiq operator, without regard to conflict-of-law rules, while preserving any non-waivable consumer rights. Courts with lawful jurisdiction may hear disputes; these Terms do not require arbitration or waive a right that cannot lawfully be waived.

20. General terms

Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. You may not assign the agreement without our consent; Magnetiq may assign it as part of a merger, financing, reorganization, or transfer of the service. If one provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. A failure to enforce a provision is not a waiver. The agreement is the entire agreement about the service and replaces prior discussions on that subject. Electronic notices and acceptance are valid to the extent allowed by law.
